Launch of Safilo Group s.p.a. share purchase programme

Safilo S.p.A. a subsidiary of Safilo Group S.p.A., announces, that has engaged Kepler Cheuvreux to launch, starting from 1 July 2024, the Safilo Group S.p.A. Share Purchase Program with the following features: 
-    the Programme is aimed at the purchase of shares to be used to service the 2023-2025 Stock Option Plan of Safilo Group S.p.A. and Safilo S.p.A. as well as any stock incentive plans that may be approved in the future;
-    the purchase of the Programme may concern a maximum of n. 11,000,000 shares, equal to approximately 2.7% of the shares currently issued, for a total expenditure up to € 14 million. The number of shares covered by the Programme represents a portion of the total number of shares, equal to a maximum of n. 16,000,000 shares (approximately 3.9% of the Shares currently issued); 
-    the purchase price of each share shall be not lower or higher of more than 10% of the reference price of the share on Euronext Milan on the trading day preceding the relevant date of purchase and shall not be greater than the higher of the price of the last independent trade and the highest current independent bid on Euronext Milan at the time the purchase is carried out; 
-    the purchases started on 1 July 2024 and will end on December 31, 2024; purchases of shares under the Programme will be made on the regulated Euronext Milan market, organized and managed by Borsa Italiana S.p.A. As indicated above, purchases will be made by Kepler Cheuvreux, as an independent intermediary.
Finally, it should be noted that as of the date of the press release (June 28, 2024), Safilo Group S.p.A., including through subsidiaries, does not hold treasury shares.
