
Safilo Group S.p.A. Shareholders' Meeting Approves the Financial Statements as of December 31, 2024
Approval of the 2024 Financial Statements and Authorization of the Share Buyback Plan.
The Shareholders' Meeting of Safilo Group S.p.A., held on April 24 in a single session, approved the Company's statutory financial statements and the Board of Directors' management report for the financial year 2024, and also reviewed the consolidated financial statements and the consolidated sustainability report pursuant to Legislative Decree No. 125/2024.
The Shareholders' Meeting also approved the first section of the Report on the Remuneration Policy and Compensation Paid, relating to the Company’s policy on the remuneration of members of the Board of Directors, key management personnel, and members of the Board of Statutory Auditors for the financial year 2025, as well as the procedures used for the adoption and implementation of said policy. Furthermore, it expressed a favorable vote on the second section of the Report, concerning the individual components of the remuneration of the Board of Directors, key management personnel, and the Board of Statutory Auditors, as well as the compensation paid to them for any reason during the 2024 financial year.
Additionally, the ordinary Shareholders' Meeting of the subsidiary Safilo S.p.A., held on the same date, unanimously authorized transactions for the purchase and disposal of ordinary shares of the parent company Safilo Group S.p.A., up to a maximum of 15,000,000 shares, corresponding to approximately 3.6% of the Company’s currently issued shares.
This plan represents a strategic step toward the efficient management of financial resources while maintaining flexibility through the creation of a stock inventory, in order to seize potential future investment opportunities—an area in which the Group remains consistently attentive and active.
The authorization to purchase the parent company's shares is granted for the maximum duration allowed by law, in accordance with Article 2359-bis, paragraph 2, and Article 2357, paragraph 2, of the Italian Civil Code, for a period of eighteen months from the date of approval of the resolution.
